      Council Proceedings of the City of Shreveport, Louisiana

      November 25, 2008

      The regular meeting of the City Council of the City of Shreveport, State of Louisiana was called to order by Chairman Joe Shyne at 3:04 p.m., Tuesday, November 25, 2008, in the Government Chambers in Government Plaza (505 Travis Street).

      Councilman Shyne: I know some of you all are trying to get to the airport to catch a plane to San Diego or Detroit, or San Francisco, or somewhere, so we’ll get the meeting started. I’d like to call this meeting to order for November 25, 2008.

        Invocation was given by Councilman Wooley.

        The Pledge of Allegiance was led by Councilman Bowman.

      On Roll Call, the following members were Present: Councilmen Lester, Walford, Long (Arrived at 3:11 p.m.), Wooley, Webb, Shyne, and Bowman. 7. Absent: None.

      Motion by Councilman Wooley, seconded by Councilmen Bowman and Webb to approve the minutes of the Administrative Conference, Monday, November 10, 2008 and Council Meeting, Tuesday, November 11, 2008. Motion approved by the following vote: Ayes: Councilmen Walford, Wooley, Webb, Shyne, and Bowman. 5. Nays: None. Out of the Chamber: Councilmen Lester and Long: 2.

      Councilman Shyne: Mr. Mayor, we appreciate your arrival.

      Mayor Glover: Thank you Mr. Chairman. At least for now.

      Awards, Recognition of Distinguished Guests, and Communications of the Mayor which are required by law.

      Councilman Shyne: Dale, you see that huh? Councilwoman Bowman, you want to come around and stand with the Mayor?

      Mayor Glover: Please. Absolutely.

      Councilman Shyne: You see I wore my red tie and black suit, and pictures start being made, I’m going to come around and stand with you all.

      Mayor Glover: Absolutely.

      Councilman Shyne: I see you got a lot of pretty ladies out there.

      Mayor Glover: Yes we do. Without question, and I think that both Councilwoman Bowman and I are both a little better dressed than we were on this past Saturday. I was in blue jeans, and I think that Councilwoman Bowman had a ball cap on. So - - -

      Councilman Shyne: Did she have her apron on also? Or she didn’t have her apron on?

      Mayor Glover: No, she did not have her apron on. I’m not sure who had the apron on, but it wasn’t Councilwoman Bowman. But we were as we mentioned Council Members, and all of you who are gathered here today. We were privileged, Councilwoman Bowman and myself, on this past Saturday, to have the great honor and privilege of being able to be in attendance at the celebration of the 107th birthday of Mrs. Frances Bolt. The celebration was held at the Bilberry Park and Recreation Center. She was joined by a significant number of her family members and her friends, and her church members and all sorts of well wishers. And Councilwoman Bowman had the great foresight to invite Mrs. Bolt and her family to come here today to our Council Meeting so that we can give her a more formal and official recognition in celebration of her 107th birthday. I happened to share with her on that particular day how touched I was listening to President-Elect Obama on the night of his election reference how he had been touched at knowing that a woman who is 106 years old had in fact gone to cast her ballot in favor of him for President. It occurred to me on this past Saturday that at 107 years of age, that Mrs. Bolt had actually seen a bit more history than that young lady who 106 years old. Having been born in 1901, she has seen not only her community change in significant ways, she has seen this city change, this country and this world to recognize that that was the turn of the century that we’ve gone through two world wars, Korea, Viet Nam, and now the current troubles that we’re in the midst of. That she’s seen automobiles go from being a novelty to being something that is common and everyday. From there being no such thing as an airplane, to now seeing individuals not only jumping in a plane and traveling to the other side of the country, but to the other side of the earth, and even into outer space and to the moon, and back again. So her lifetime has without question seen so much change that so many of us today are honored and privileged to be able to have enjoyed. And there are so many individuals like Mrs. Bolt whose shoulders I and so many other stand upon, because if it had not been for the life that she lived, we would not be able to stand here today with the rights and the privileges and all the great things that we can enjoy as citizens today. So I think that it is more than fitting that she is here. We thank her for being here. I want to have Councilwoman Bowman come and share a few words before we introduce Mrs. Bolt, and the part that she is accompanied with here today. Councilwoman Bowman.

      Councilwoman Bowman: Thank you Mr. Mayor. And I do want to say to you again Mrs. Bolt, doesn’t she look pretty in her pink, and she certainly does not look to be 107 years old. And as I had the opportunity to tell her on Saturday, that it was not only an honor, and a privilege, it was a pleasure just to rub shoulders with her. Just to have the opportunity to meet someone who lives in my district, that is 107 years. I am just ecstatic just to know you. And it’s a pleasure to have you here before the Council, and it was certainly our goal to allow all of Shreveport the opportunity to meet Mrs. Frances Bolt in person. Ms. Bolt.

      Mrs. Bolt: Yes. thank you. I thank you. I thank all of you for coming here. To think of just me. Looks like (inaudible), but thanks to the Lord that I was able - - - I didn’t have to crawl this morning. I didn’t have to crawl at all. But I thank the Lord that I didn’t have to do that. Thanks for everybody who is out here. It’s so wonderful to welcome me here. Something I didn’t know was happening until I got here, and the Police force was helping me get here. I didn’t know all that was happening. Thanks the Lord for everyone and everybody that’s here. How wonderful - - - for being here Christmas.

      Mayor Glover: Now in addition to recognizing Mrs. Bolt who is here today, at 107 having just celebrated her birthday, I want you all to understand that this is an outstanding gene pool that we all ought to want to be members of, and as Councilwoman Bowman mentioned on Saturday, if nothing else, we’ll all have to get a little bit closer to see if maybe some of this favor can’t rub off on us. Because not only is Mrs. Bolt here today, pretty in pink at 107, we are also pleased that as we met her also on this past Saturday that she is joined here today by her baby sister, Mrs. Bernice Jacobs, lovely in blue, who is 99 years old. God bless. And this gentleman here with the black slacks on and blue shirt, he and I have something in common, in that he happens to be the youngest brother of this trio, Mr. Walter Boxley is the younger brother of Mrs. Bolt and Mrs. Jacobs, and he is 94 years old. And they are accompanied here today by Mrs. Bolt’s son, I believe? He’s not here? Alright. Granddaughter, nieces, where are our nieces? Will the nieces stand please? Alright. Grandnieces, nephew, great-granddaughter, and great, great grandson, and the daughter, who was the classmate of my mother, if I’m not mistaken. Here’s the classmate of my mother. BTW, Class of 1951. We’re honored today to honor Mrs. Bolt and all of her family. Mrs. Bolt, on this past Saturday, I was privileged to present you with a proclamation that declared Saturday, November 22nd as Frances Bolt day in Shreveport. You have that same proclamation, but we’ve done another one for you, and we’ve put it in a little fancier frame this time. And so it is my honor and privilege to present to you again with this proclamation that declares your birthday as Frances Bolt day in the City of Shreveport.

      Mrs. Bolt: Thank you.

      Mayor Glover: You are so welcome. And we also have a lovely bouquet of flowers that we will present to one of the daughters or granddaughters who will hold this on here behalf. Here you go. These flowers are for you Mrs. Bolt. Thank you so much.

      Mrs. Bolt: Thank you. You all are so wonderful.

      Mayor Glover: Well now, if the good Lord says the same, we want to be right back here next year to celebrate your 108th birthday as well as to observe the birthday of what we pray will be our newest centenarian, the 100th birthday of Bernice Jacobs, and if the good citizens of Shreveport say the same, younger brother, Mr. Walter Boxley, before I get a chance to leave City Hall, we’ll have the pleasure and privilege to celebrate your 100th birthday as well.

      Mr. Boxley: May the 26th.

      Mayor Glover: May the 26th. 2014, we’ll be looking to set the date. Thank you, thank you, thank you. And I thank that Mrs. Bolt referenced the police officers earlier, because obviously we recognized to bring such distinguished citizens down here to city hall, we had to block off a couple of parking spaces for them. So we had some of Shreveport’s finest out front looking to make sure they got properly escorted in. So we want to thank them for their services as well. Thank you and God bless you Mrs. Bolt.

      Councilman Shyne: Mr. Mayor, just before they go, I want to promise you all, next year when you come down, we will have Councilman Long to bring his guitar, Mr. Wooley will bring his piano, and I’ll sing Happy Birthday. I’m good at that. Thank y’all.

      Councilman Walford: Mr. Vice-Chairman, could you help us?

      Councilman Webb: Yeah, looks like I’m going to have to. Does any Council Member have any communications they want to bring up while they’re shaking hands or anything? You back Mr. Joe?

      Councilman Shyne: Yes, I did that so he could kinda get - - - right. Any communications from Council Members at this point? Any special guest from Council Members at this point? Okay.

      Mayor Glover: Thank you all so much. Mr. Chairman, City Council? Chief Whitehorn here? Hiding behind the pole. Alright. Thank you for your indulgence Council Members. We have one additional communication to present. Thanks to the cooperation of this Council, just over a year ago, this administration, this city put forth an effort that many people (inaudible) with that because it had a funny name, but it was essentially embodied exactly what it is that I believe both this Council and this Administration wanted to take to the citizens of the City of Shreveport, and that is the effort that would seek to not only address our issues and challenges from a law enforcement standpoint, but also recognize that there was a direct connection between our successful efforts and the quality of life within our neighborhoods. And so to everyone’s collective amusement, we debuted an effort called Operation T-Bone, and we all know by now that T-Bone is an acronym that stands for Taking Back Our Neighborhoods Everyday, which again recognizes the fact that you can’t just go out and look to have a ‘lock ‘em up attitude,’ if you do not combine that with an effort to mobilize, activate, and empower the neighborhoods to go about dealing with the issues and problems that they face everyday. So, Operation T-Bone has had an outstanding return for the investment that the City has made up. It’s also been recognized at the state level, and thanks to the outstanding work of Chief Whitehorn and all the men and women at the Shreveport Police Department, it was presented before the International Association of Chiefs of Police for some consideration, and Chief Whitehorn has a report to give you about exactly it has faired there, and what the results were. So, Chief Whitehorn, I’ll turn it over to you.

      Chief Whitehorn: Thank you Mr. Mayor, and Mr. Chairman, Members of the Council. It’s kind of hard to get up here and top a blessing such as what we just saw with the 107 year old person being able to come before this Body. But I have something that I believe is worthy of recognition for the City of Shreveport and our citizens. A couple of weeks ago, I attended the IAC Conference in San Diego, California. And I attended that conference as I do very often to try to learn more ways that we could enhance the quality of life for our citizens. This year was very special for me because not only did I attend the conference, but I also went to receive an award on behalf of the Shreveport Police Department. This award as I talk about it is much bigger than Shreveport Police. And I’m going to cover that as I go through this presentation. But the interesting thing is that Shreveport Police Department was recognized globally. And when I say globally, we were recognized as one of the top 25 premier law enforcement agencies in the world. India took top honors, but we were right there with them. This is the Webber S. Seavey Award that we received because of our efforts through Operation T-Bone, and our quality of life issues here in Shreveport. This award is presented annually to agencies and departments world wide in recognition for promoting a standard of excellence that exemplifies our law enforcement contributions to quality of life issues in our communities. This is a world established award sponsored by Motorola. Agencies from all over the world seek to receive these honors. And when I thought about it, I’m sitting there about to accept this award, I said, ‘this is huge.’ To be sitting in this room and accepting this award on behalf of Shreveport Police Department. And I starting thinking, it’s even bigger than that, because not only was it the Shreveport Police Department, it was this entire city. From the Council, to the Mayor to Property Standards, and any city government agency that participates in quality of life. Public Works, SPAR, all of those agencies played a role in us being able to accomplish our mission for Operation T-Bone. And then I thought further, I said, ‘you know it’s even bigger than that.’ I said, ‘because if we didn’t have the citizens’ participation in our efforts, none of this would work. I remember, before I was appointed Chief of Police, Mayor Glover called me or had someone call me, and asked for me to attend a meeting that was going to be held here in Shreveport. We had (inaudible) agencies, law enforcement agencies that met at Shreveport Police Department in the Conference Room, and one of the things that we were talking about, the Mayor was seeking ways that we could deal with our crime issues here in Shreveport. And as the conversation went, and the discussion went, one of the things I pointed out, and I remembered saying to the Mayor, I said, ‘Mayor, all of these things are going to be great, but if we don’t clean this city up, it doesn’t matter who your Police Chief is, it’s not going to work.’ And based on those discussions, I believe Sheriff Prator even mentioned some of the previous things that as a police department and code enforcement at that time worked together to try to help enhance the quality of life. And as a result of those meetings and other meetings that the mayor had, he developed this concept about Operation T-Bone. And we all know that this concept is kicked off in July of 2007. I didn’t get here until August of 2007. So, this was well in operation before Henry Whitehorn got here. Behind me, I have members of my staff. And I tell everybody, I haven’t arrested the first burglar, I haven’t solved the first homicide. But crime is down all over this city, and it’s down because of the hard work of these men and women that you see behind me. Since we have received this award, the phones have been busy. Agencies from around the country have been calling Shreveport Police Department to try to duplicate what we’re doing in Shreveport to solve their crime issues in their cities. So, not only are we setting the pace here, but we’re setting the pace all over the globe. So, I want to thank y’all for your support, and I hope that we continue with that support throughout, and I want to thank the citizens, but most of all, I want to thank the employees of this city and the men and women of the Shreveport Police Department. I tried to get Jim Holt to come up here and stand beside me, but he said, ‘I don’t want to take anything away from what y’all did.’ But Jim knows that we could not have done it without that support with our Property Standards and with the support of this Council and our Mayor. So, thank y’all so much.

      Councilman Shyne: Chief, just before you go, you know I want to let you know and I like how you spread the goodness around, but you know everything starts with good leadership, and I want you to know that we appreciate the kind of professional and wise leadership that you have provided to the men and women of the Shreveport Police Department, to the City of Shreveport and to Northwest Louisiana. So, we thank you Chief.

      Chief Whitehorn: Thank you sir.

      Mayor Glover: Before you go, and I don’t want to belabor this, but Jim, I’ve at least got to ask you to stand up, and any of the other folks who are here with Property Standards. Because you guys know I preach the mantra of broken windows, and the connection between the condition of our neighborhoods, the standards that we expect our citizens to live up to, and the connection that that has to our ability to effectively fight crime, to improve the quality of life in those neighborhoods, to hold onto our citizens. There is a direct connection, and you would not, I don’t believe, be witness to the types of reductions that we’re in the midst of right now. And every time I do that Chief, I end up having to get an email that says that we’ve had something that we don’t like to happen, but I’m going to say it here today and stand on it. We are in the midst of setting some numbers that we haven’t seen in this city in a very long time, in terms of total number of offenses committed, and those are not just reductions, but they represent double digit reductions. We were last year blessed to be able to say that we saw a 2% reduction in violent crime in all of ’07. If the trends continue in these last 30+ days, we’re headed somewhere in the direction of right now, I believe of about 16%. But not only have we seen a reduction of close to 16% in the overall violent crime rate in the city, we’ve also seen an untold number of weeded lots cleaned, homes boarded up, of dilapidated structures, demolished, all of those end up being connected, contributing factors to how it is that we go about establishing a level of order within this city that we want to see, and seeing that order maintained. It’s directly connected to why it is and Councilwoman Bowman, you and I spent in the early part of this term, we spent more than a few Sundays out on the corner of Greenwood and Jewella, dealing with an issue that right now, we don’t experience in this city anymore. Because of the work that the men and women throughout the City of Shreveport have done. We used to have a problem of young people who gathered in the parking lots of our fast food establishments, but we don’t have those challenges at this particular point and time, because of the work of this Police Department and citizens all across this city. We’ve got one gas station on Hearne Avenue that we still struggle with. But we’re even getting it wrestled down. And we’re making progress there as well. So Chief, I want you to know and Jim, I want you to know and I want all the men and women who work with and for you all throughout the entirety of the City of Shreveport, even those in Parks and Recreation, because that’s a big part of the equation as well. The fact that we have structured activities for our young people to do all throughout the entirety of the year. Even during weeks like this when we have breaks with children are generally out running the streets, now have structured activities to do because of what’s happening right now in this city, and because of the leadership that’s provided by this Council and this administration, and the men and women who work for the City of Shreveport, so it’s a collective effort Chief, you were right on point, and all the folks who stand behind you appreciate and recognize the hard work that you’ve done, and all of you all are doing and I want you all to know as Mayor, that I truly do appreciate it and to this Council, I appreciate everything that you all have done to help make it happen. So, thank you much to you.

      Councilman Shyne: Chief, one more comment and he said that he’s going to make his short.

      Councilman Walford: I will make mine very short. I want to piggy back on something the Mayor said, and Chief, this is - - - you’ll have to stand there for this one. But you say it’s a collective effort, and there is one other group that you really haven’t included, and that’s our citizens and their neighborhood associations. What this actually did was empower them, and let them know that they could make a difference, and they were going to get the response, and Mayor, I don’t have to tell you about Interfaith, they got involved in this, and knew that when they spoke, somebody was listening. So I think it’s had a very far reaching affect, and it’s been good, it’s great. Thank you.

      Councilman Shyne: Before you move on, I’d like to introduce my cousin, a member of the Caddo Parish School Board, which to me education is one of the most important things in America. My cousin, Ms. Dottie Bell. Dottie, you want to just stand?

      Mayor Glover: Mr. Chairman, you recognize one School Board Member, we’ve got to acknowledge a past School Board Member.

      Councilman Shyne: I’m sorry, that’s Ms. Wanda Wright, who is a cousin to Ron Webb. Ms. Wright it’s good to have you here. Of course Dottie, Monty said that you and I didn’t look too much alike, but he doesn’t understand the DNA.

      Councilman Walford: I didn’t say that. (Inaudible)

      Councilman Shyne: That’s exactly right. Okay, lets’ move on. Property Standards?

      Councilman Shyne: Mr. Thompson, what do we have to add?

      Mr. Thompson: Mr. Chairman, we only had one item. It’s the approval of the Special Meeting Minutes. We had a 2009 Budget Wrap Up session, November 21st. The minutes were not available at that time because the meeting was at 12:00 and we had to publish the agenda before that. So the Councilmen if they would like to, they add this to the agenda and approve them today, or we could wait until next week, and put it on the agenda in the regular order.

      Councilman Shyne: What is the pleasure of the Council?

      Councilman Webb: We’ll do it the next time.

      Councilman Shyne: Okay, well Mr. Thompson, we’ll wait until the next time. I just got that from the incoming Chairman. I guess I’m kinda like George Bush in a way.

      Councilman Webb: Are you sure you want that (inaudible)?

      Councilman Shyne: Ron, I’ll take that back. Let me take that back. Mr. Thompson, we will wait until next week.

      Mr. Thompson: Mr. Chairman, we’ve just received two appointments from the Mayor by letter dated today for the Downtown Development Authority. Mr. Jeff Spikes and Terry E. Moore. They will be on the agenda for your consideration at the next meeting.

      Mayor Glover: Mr. Chairman, if you will indulge me for just one second. Before we too much further, I couldn’t let us not recognize the newly elected president or President-Elect, I’m not sure if he has been sworn or inaugurated or whatever the procedure is, but we have been joined by not only a member of the Shreveport Fire and Police Municipal Civil Service Board, but also the President-Elect of the Shreveport Chapter of the NAACP, Mr. Lloyd Thompson.

      Councilman Shyne: Mr. Thompson? Stand. You want to come up? Come on up and say hello Mr. Thompson, you’re a good ole country boy. I’m sorry, maybe I shouldn’t have said that Lloyd. Lloyd, you’re a nice young man.

      Mr. Lloyd Thompson: Thank you. Thank you Mayor and thank you Council. I’m just excited about some of the opportunities that this position is going to bring, do some great things in the community. Feel free to call on me if I can do anything to help you. Thank you.

      Councilman Shyne: Lloyd, I’ll be calling you tomorrow. We got quite a few problems we need to work on. Lloyd, you forgot to tell us who your sidekick is going to be.

      Mr. Lloyd Thompson: My 1st Vice President was also elected on Saturday, Mr. Calvin Lester.

      Councilman Shyne: Alright then. Calvin was a little modest, and Calvin, I wasn’t going to let him slide by, hear?

      Councilman Lester: Well I appreciate that Mr. Chairman. You’ve always been so nice to me.

      Councilman Shyne: Calvin was a little modest. And Mr. Thompson, we’re looking for great things from you and your 1st Vice President.

      RESOLUTION NO. 264 OF 2008

      A RESOLUTION AUTHORIZING THE USE OF CERTAIN EQUIPMENT BY ST. JOHN BERCHMANS AND TO OTHERWISE PROVIDE WITH RESPECT THERETO.

      WHEREAS, the City desires to participate in programs which, directly benefit the school students and visitors of the City by participating in wholesome activities which serve to benefit the educational community; and

      WHEREAS, St. John Berchmans School desires to provide a wholesome activity open to the community and to benefit its students by hosting the Fall Festival; and

      WHEREAS, St. John Berchmans School has requested the use of certain city owned equipment; and

      WHEREAS, the program sponsored by St. John Berchmans School’s Fall Festival raises funds to invest in the renovation projects at the school, thus providing an education opportunity to benefit the school which serves a public benefit and serves a public purpose.

      NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Shreveport in due, legal and regular session convened that the use ceratin city-owned equipment by St. John Berchmans on November 14-16, 2008 during the Fall Festival is hereby approved.

      BE IT FURTHER RESOLVED that the use of the equipment by St. John Berchmans is conditioned upon the execution of an indemnity and hold harmless agreement by St. John Berchmans in favor of the City of Shreveport in a form acceptable to the Office of the City Attorney.

      BE IT FURTHER RESOLVED that if any provision or item of this resolution or the application thereof is held invalid, such invalidity shall not affect other provisions, items or applications of this resolution which can be given effect without the invalid provisions, items or application, and to this end, the provisions of this resolution are hereby declared severable.

      BE IT FURTHER RESOLVED that all resolutions or parts thereof in conflict herewith are hereby repealed.

      RESOLUTION NO. 265 OF 2008

      A RESOLUTION AUTHORIZING THE USE OF CERTAIN CITY-OWNED EQUIPMENT BY SCI-PORT DISCOVERY CENTER AND TO OTHERWISE PROVIDE WITH RESPECT THERETO.

      BY:

      WHEREAS, the City desires to participate in programs which, directly benefit the citizens of the City by participating in wholesome activities which serve to benefit the entire community; and

      WHEREAS, Sci-Port Discovery Center, desires to provide a benefit and fund raiser to support its educational efforts for people of all ages to explore and actively engage in the world of mathematics, science and technology by hosting a new Holiday fund raiser, the “Holiday Affair On the Red”on December 13, 2008; and

      WHEREAS, Sci-Port Discovery Center has requested the use of certain city owned equipment during the event; and

      WHEREAS, the programs and services provided by Sci-Port Discovery Center provide to benefit the education of the community which serves a public benefit and serves a public purpose.

      NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Shreveport in due, legal and regular session convened that the use of the equipment by Sci-Port Discovery Center on December 13, 2008 during the Holiday Affair on the Red is hereby approved.

      BE IT FURTHER RESOLVED that the use of the equipment by Sci-Port Discovery Center is conditioned upon the execution of an indemnity and hold harmless agreement by Sci-Port Discovery Center in favor of the City of Shreveport in a form acceptable to the Office of the City Attorney.

      BE IT FURTHER RESOLVED that if any provision or item of this resolution or the application thereof is held invalid, such invalidity shall not affect other provisions, items or applications of this resolution which can be given effect without the invalid provisions, items or application, and to this end, the provisions of this resolution are hereby declared severable.

      RESOLUTION NO. 266 OF 2008

      A RESOLUTION DECLARING THE INTENTION OF THE CITY OF SHREVEPORT (THE “CITY”) TO HIRE PROFESSIONALS IN CONNECTION WITH THE ISSUING OF NOT TO EXCEED NINETY-FIVE MILLION AND NO/100 ($95,000,000) DOLLARS LOUISIANA LOCAL GOVERNMENT ENVIRONMENTAL FACILITIES AND COMMUNITY DEVELOPMENT AUTHORITY REVENUE REFUNDING BONDS (SHREVEPORT UTILITY SYSTEM PROJECT) SERIES 2008 FOR THE PURPOSE OF REFUNDING CERTAIN EXISTING INDEBTEDNESS PREVIOUSLY ISSUED FOR THE SHREVEPORT UTILITY SYSTEM (THE “PRIOR BONDS”), FUNDING A DEBT SERVICE RESERVE FUND, PAYING FEES ARISING FROM THE TERMINATION OF THE EXISTING INTEGRATED SWAP AGREEMENT RELATED TO THE PRIOR BONDS AND PAYING THE COSTS OF ISSUANCE OF THE BONDS, AND OTHERWISE PROVIDING WITH RESPECT THERETO.

      WHEREAS, by prior resolution, the City of Shreveport, State of Louisiana (the “City”) became a participating political subdivision and member of the Louisiana Local Government Environmental Facilities and Community Development Authority (the “Authority”); and

      WHEREAS, the Authority has previously issued its $75,000,000 Revenue Bonds (Shreveport Utility System Project) Series 2005 (the “Prior Bonds”). The Prior Bonds were used for the acquisition and construction of improvements, enlargements and upgrades to the City’s water and sewer system (the “Utility System”); and

      WHEREAS, the City desires to proceed with a financing through the Authority by the issuance of its revenue refunding bonds (Shreveport Utility System Project) Series 2008 in an amount not to exceed Ninety-Five Million and No/100 Dollars ($95,000,000) (the “Bonds”) in a manner and structure to be determined by a related ordinance, for the purpose of (i) currently refunding the outstanding Prior Bonds; (ii) funding a debt service reserve fund; (iii) funding termination payments (the “Termination Payments”) arising pursuant to the termination of an existing integrated swap agreement related to the Prior Bonds, and (iv) paying the costs of issuance of the Bonds, all of which shall collectively be known as (the “Project”) or (the “Refunding”).

      WHEREAS, in order to achieve the Refunding, the City, desires to engage professionals to assist in the Project.

      NOW, THEREFORE, BE IT RESOLVED, BY THE City Council of the City of Shreveport (the “City”), in legal session convened and acting as the governing authority thereof (the Governing Authority”), that:

      Section 1: Employment of Bond Counsel. The City hereby finds and determines that a real necessity exists for the employment of special bond counsel in connection with the issuance of the Bonds, and accordingly, The Boles Law Firm, APC of Monroe, Louisiana and Jacqueline Scott, Attorney at Law, of Shreveport, Louisiana are hereby employed as bond counsel and co-bond counsel, respectively (together, “Bond Counsel”), are hereby appointed and employed to do and perform comprehensive legal and coordinate professional work with respect to the issuance of the Bonds. Said Bond Counsel shall prepare and submit to such officials of the City for adoption all proceedings incidental to, and shall counsel and advise the Mayor and Governing Authority on the issuance and sale of the Bonds. The fees of Bond Counsel shall be contingent upon the sale, issuance and delivery of the Bonds. The fees to be paid to Bond Counsel shall be an amount less than the Attorney General's then current Bond Counsel Fee Schedule as negotiated and other guidelines for comprehensive, legal and coordinate professional work in the issuance of revenue bonds applied to the actual aggregate principal amount issued, sold, delivered and paid for at the time the Bonds are delivered, together with reimbursement of out-of-pocket expenses incurred and advanced in connection with the issuance of the Bonds, said fee to be payable out of Bond proceeds.

      Section 2: Investment Banker. An Investment Banker or Bankers shall be appointed and employed as investment bankers/underwriter in connection with the Bonds, any compensation to be subsequently approved by the City and the Authority and to be paid from the proceeds of the Bonds and contingent upon issuance of the Bonds.

      Section 3: Underwriter Counsel. Weems, Schimpf, Gilsoul, Haines, Landry & Carmouche (APLC) of Shreveport, Louisiana and Washington and Wells, Attorneys at Law, of Shreveport, Louisiana (together, "Underwriter Counsel") are hereby appointed and employed as Underwriter Counsel in connection with the Bonds, any compensation to be subsequently approved by the City and to be paid from the proceeds of the Bonds. The fees to be paid for such services, together with reimbursement of out-of-pocket expenses incurred and advanced are contingent upon issuance of the Bonds and the Underwriter Counsel are authorized and directed to prepare necessary documents appertaining thereto and to present them for further action by this Council.

      Section 4: Financial Advisor. Grigsby & Associates, Inc., of San Francisco, California is hereby appointed and employed as financial adviser in connection with the Bonds and any Swap Termination, any compensation to be subsequently approved by the City and the Authority and to be paid from the proceeds of the Bonds. The fees to be paid for such services, together with reimbursement of out-of-pocket expenses incurred and advanced are contingent upon issuance of the Bonds.

      Section 5: Counsel to the City. Terri A. Scott, City Attorney for the City of Shreveport, shall serve as counsel to the City in connection with issuance and delivery of the Bonds.

      Section 6: Other Professionals. The Project has been necessitated by significant increases in interest payments on the Prior Bonds. Should it be necessary to engage other professionals, the Authorized Officers (as defined below) shall be entitled to engage such professionals provided the contracts employing such professionals shall be promptly submitted to this Council.

      BE IT FURTHER RESOLVED that the Governing Authority hereby authorizes and directs its Mayor, Chief Administrative Officer, Director of Finance, and/or Clerk together with such other officials of the City (the “Authorized Officers”) to do any and all things necessary and incidental to carry out the provisions of these resolutions.

      BE IT FURTHER RESOLVED, that if any provision or item of these resolutions or the application thereof is held invalid, such invalidity shall not affect other provisions, items or applications of this resolution which can be given effect without the invalid provisions, items or applications, and to this end, the provisions of this resolution are hereby declared to be severable.

      BE IT FURTHER RESOLVED that all resolutions in conflict herewith are hereby repealed.

      Councilman Shyne: I just want to pause one minute and Mr. Mayor, I know you’re going to be on top of this. I just wanted to make the statement. Really I wanted to make the statement to Councilman Wooley, and I’m glad that we have Senator Jackson here. I would hope that in the near future, I believe that the news is coming out in D.C. is that the new Administration will be appropriating billions of dollars for public works projects in the individual states. And I know the three of you all are members of the I-49 team. And Mr. Mayor, I tried to get Mr. Thompson on there, but for some reason, I didn’t quite have that kind of muscle this time around, but Mr. Thompson, we’re working on it. But we need to make sure that this is a golden opportunity for us to get I-49 and Mr. Mayor, I’m not going to say how long we’ve been working on it, but you have begin to get a few gray hairs. I hope that’s not because of me, but you have been working on that for quite some time, and I know that your colleagues and I won’t leave Representative Burrell out, because if I do, you know he’ll be after you and I. So, I want to commend you all for working hard and I hope that Councilman Wooley, in the upcoming days and weeks and months, that you all will make sure that you all keep I-49 on the front burner. Because this might be our best opportunity in order to get the millions of dollars that we need from the federal government in order to do I-49. So, Senator Jackson, I’m glad you came in today. I guess the Lord must have heard me praying, and prayers are answered sometimes. So, Mr. Mayor if you keep that in mind, and Mr. Wooley, I’m glad to see you and the Mayor working together on this major project. The last project we had, you all worked very closely on. I’ll leave it at that.

      Mayor Glover: Mr. Chairman, if I can offer, I’ll go ahead and make Mr. Wooley aware, we’ll be sending out an announcement today before the day is over, if it hasn’t already been sent. But in fact, in light of what you just mentioned, 1) the message of I-49 being a part of the stimulus package that’s being discussed, that message has been delivered several times already. We want you to continue to reiterate. We also want to make sure that we keep a parallel (inaudible) in terms of our hopes of being able to be able to get significant funding from the legislature, the surplus dollars that will take place in special session this coming January. But in an effort to try and make sure that we have our strategy in place as quickly as possible. Gov. Jindal has agreed to travel to Shreveport. I work on the Friday after Thanksgiving, and I’m sure most of you all do as well, and so at 1:30 on this coming Friday, we’re going to be meeting here in the Mayor’s Conference Room with Gov Jindal along with the legislative delegation. We certainly invite Councilman Wooley and any of you who would be interested in being a part of that as we talk about exactly how we go about trying to execute that strategy.

      Councilman Shyne: Mr. Mayor, I appreciate that, but I was getting ready to call Senator Jackson about the affair that happens in New Orleans every year during that time. So, Dale, I guess you’ll have to kinda wait and Calvin, you and Dottie, I guess I won’t get a chance to laugh at you all so early. So, I guess we’ll all be here for that meeting. And I hope that you all notice that I’m trying to make sure that I set a good example by making sure that these meetings are very efficient. Councilman Lester: Leadership Mr. Chairman.

      Councilman Shyne: And that we don’t waste any time. It’s almost 5 - - - Dottie, you see that? Joyce always messes up a good thing.

      Mayor Glover: Mr. Chairman, could I leave you with one thing before we leave this subject. You mentioned my gray hair. I tell you what I can do. If you’ve given me mine, can I trade the fact that I’ve given you yours? Would that be a fair trade?

      Councilman Shyne: That’s fair.
